As a Corporate Secretariat Expert, you will be part of the Corporate Affairs and Governance Department of Eni SpA. Your primary responsibilities include regulatory and best practice monitoring, corporate law and corporate governance consultancy, and compliance with regulatory authorities, shareholders' meetings, and corporate bodies. Your team will also provide corporate secretarial services and legal support, both in and out of court, for transactions and litigation. Specifically, your team will oversee corporate secretarial services and corporate reporting to authorities and the market for the parent company, Eni SpA.
Main activities:
- Regulatory obligations that the company is required to comply with towards the supervisory authorities - Italian and foreign (in particular CONSOB and SEC) - on companies issuing listed financial instruments, the management bodies of the related markets and the market itself, and, more generally, for compliance with the regulations on financial markets and corporate disclosure.
- Preparation and organization of the meetings of the Shareholders' and Bondholders' Meetings of Eni SpA
- Management of relationships with shareholders (retail and controlling) and bondholders, ensuring direct information is provided and the required documentation is transmitted
- Consulting and assistance in preparing documentation for Eni SpA's participation in tenders
- Support activities in managing compliance with Eni SpA stock and bond securities, including in relation to the management of Eni SpA stock incentive plans.
- Support activities in managing the payment of dividends and any interim dividends in coordination with the outsourced securities management service provider
- Obligations relating to the company's participation in the meetings of companies and other entities directly owned by it and other obligations specific to the shareholder
- Updates to the Eni website content, as appropriate.
Required characteristics:
- Master's Degree in Law
- At least 3 years' experience in corporate secretarial work in law firms or medium/large listed companies
- Knowledge of civil and sector legislation
- Strong aptitude for teamwork
- Good knowledge of the Office package
- Good knowledge of the English language.
